1. Acceptance of Terms
By purchasing a ticket, registering for, attending, or participating in any event, program, service, or digital offering hosted or produced by Uptown Legacy LLC, doing business as Uptown Digital (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions.
2. Event Admission & Tickets

All ticket sales are final unless otherwise stated in writing.

Tickets are non-refundable and non-transferable except at the Company’s sole discretion.

The Company reserves the right to refuse admission or remove any attendee whose behavior is deemed disruptive, unsafe, or inappropriate, without refund.
3. Event Changes or Cancellations

The Company reserves the right to modify event details including date, time, location, speakers, performers, or programming.

In the event of cancellation, refunds (if any) will be issued at the Company’s discretion and may exclude processing or service fees.

The Company is not responsible for travel, lodging, or other expenses incurred by attendees.
4. Assumption of Risk
Attendance at events is voluntary. By attending, you acknowledge and assume all risks associated with participation, including but not limited to personal injury, illness, loss, or property damage.
5. Liability Waiver
To the fullest extent permitted by law, you release and hold harmless Uptown Legacy LLC, Uptown Digital, its owners, employees, contractors, partners, and affiliates from any claims, damages, losses, or liabilities arising from your participation in any event or service.
6. Photography, Video & Media Release
By attending any event, you grant the Company permission to photograph, record, and use your image, likeness, voice, or appearance in promotional materials, social media, marketing, and future content without compensation.
7. Code of Conduct
All attendees are expected to behave respectfully toward staff, vendors, speakers, and other guests.

Harassment, discrimination, violence, or illegal activity will not be tolerated.

Violation of this policy may result in immediate removal without refund.
8. Intellectual Property
All content produced by the Company, including branding, logos, event materials, recordings, and digital assets, remains the intellectual property of Uptown Legacy LLC / Uptown Digital and may not be reproduced or distributed without written permission.
9. Payments & Fees

Prices are subject to change without notice.

All applicable taxes and fees are the responsibility of the purchaser.

Chargebacks or payment disputes may result in exclusion from future events.
10. Third-Party Vendors
The Company is not responsible for the actions, services, or products of third-party vendors, sponsors, or venues associated with any event.
11. Privacy
Personal information collected during registration or ticket purchase will be used solely for event operations, communication, and marketing purposes in accordance with applicable privacy laws. The Company does not sell personal data.
12. Force Majeure
The Company is not liable for delays, changes, or cancellations caused by events beyond its control, including but not limited to acts of God, weather, government orders, public health emergencies, or technical failures.
13. Governing Law
These Terms and Conditions shall be governed by and interpreted under the laws of the state in which Uptown Legacy LLC is registered.
14. Changes to Terms
The Company reserves the right to update or modify these Terms and Conditions at any time. Continued participation in events constitutes acceptance of any changes.
